Definitions
- “ModulON AI”, “we”, “us”, or “our” refers to the entity that owns and operates the ModulON AI platform and related Services.
- “User” refers to any individual who accesses or interacts with the Services, including end-users who interact with ModulON AI through a Client’s website, application, or integration.
- “Client” refers to any individual or organization that subscribes to, licenses, deploys, or integrates the Services within its own platform, website, or operational environment under a valid agreement.
For purposes of this Policy, these interactions are collectively referred to as the “Services”.
This Policy does not apply to data processing activities performed independently by our clients on their own platforms using ModulON AI. Such processing may be governed by separate agreements or the client’s own privacy policies.
Use of Services
You may access and use the Services only in accordance with these Terms and all applicable laws and regulations.
You agree not to:
- Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose
- Attempt to gain unauthorized access to any part of the Services, accounts, systems, or networks
- Interfere with, disrupt, or compromise the integrity, security, or performance of the Services
- Circumvent usage limits, access controls, or security mechanisms
- Use the Services in a manner that could damage, disable, or overburden our infrastructure
If you are a Client embedding or integrating ModulON AI into your platform, you are solely responsible for:
- Ensuring that your end-users are properly informed about the use of AI systems
- Providing required privacy notices and obtaining any legally required consents
- Ensuring that your use of the Services complies with applicable data protection and consumer protection laws
ModulON AI does not assume responsibility for a Client’s failure to obtain proper consent or provide legally required disclosures to its users.
User Content and Interaction
The Services may allow Users and Clients to submit, upload, transmit, or otherwise provide content, including messages, documents, data, or other materials (“User Content”).
You retain ownership of your User Content. However, by submitting User Content through the Services, you grant ModulON AI a non-exclusive, worldwide, royalty-free license to process, reproduce, store, analyze, and use such content solely for the purpose of:
- Providing and delivering the Services
- Generating AI responses and contextual outputs
- Maintaining, securing, and improving platform performance
- Enforcing these Terms
You represent and warrant that you have the legal right and authority to submit the User Content and that doing so does not violate any applicable laws or third-party rights.
ModulON AI does not assume responsibility for the accuracy, legality, or reliability of User Content submitted by Users or Clients. We reserve the right, but are not obligated, to monitor, review, flag, restrict, or remove User Content that violates these Terms or is unlawful, abusive, harmful, or otherwise inappropriate.
Prohibited Conduct
You agree not to, and not to permit any third party to:
- Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose, or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Services, related systems, networks, or accounts.
- Reverse-engineer, decompile, disassemble, copy, or otherwise attempt to extract the source code, underlying models, algorithms, training data, or proprietary information of the Services, except to the extent such restriction is prohibited by law.
- Introduce, transmit, or distribute malware, viruses, worms, Trojan horses, or any other malicious code or harmful technologies through the Services.
- Use the chatbot or platform for spamming, phishing, harassment, hate speech, impersonation, or other abusive or misleading activities.
- Interfere with, disrupt, or degrade the integrity, performance, or security of the Services or related infrastructure.
- Circumvent usage limits, credit systems, access controls, or security mechanisms implemented by ModulON AI.
We reserve the right to suspend or terminate access to the Services for any violation of this Section, without prior notice, where reasonably necessary to protect the integrity, security, or lawful operation of the platform.
Anti-Scam and Acceptable Use
ModulonAI is committed to maintaining a safe and lawful platform for businesses and users. By using the ModulonAI platform, you agree not to use the service for any unlawful, fraudulent, or abusive activities.
Prohibited Activities
Client/Users of Modulon AI strictly agree not to use the platform for the following purposes:
Financial Scams and Fraud
- Operating or promoting financial scams, phishing schemes, or fraudulent investment programs.
- Impersonating banks, financial institutions, government agencies, or other organizations for deceptive purposes.
- Attempting to obtain sensitive financial information such as bank account credentials, credit card numbers, OTP codes, PINs, or passwords.
Social Engineering
- Using chatbots or automated messaging to manipulate, deceive, or trick individuals into revealing confidential information.
Illegal or Malicious Activities
- Conducting activities that violate applicable laws, including but not limited to cybercrime, identity theft, fraud, or unauthorized access to systems.
Misrepresentation
- Misleading users by falsely representing the identity, affiliation, or authority of the chatbot or business.
Spam or Abuse
- Sending unsolicited mass messages, spam, or abusive content through the platform.
Clients/Users agree to comply with all applicable laws and regulations, including but not limited to:
- Republic Act No. 12010 – Anti-Financial Account Scamming Act (AFASA)
- Republic Act No. 10175 – Cybercrime Prevention Act of 2012
- Other applicable data protection, cybersecurity, and consumer protection laws.
ModulonAI reserves the right to:
- Suspend or terminate accounts that violate this policy.
- Remove content or chatbot functionality that is suspected of being used for scams or fraudulent activity.
- Cooperate with law enforcement authorities when required by law.
Users are solely responsible for the content, training data, and behavior of the chatbots they deploy using the ModulonAI platform.
ModulonAI shall not be liable for misuse of the platform by users who violate these policies.
Client Responsibilities and Embedded Widget Restrictions
If you are a Client embedding, integrating, or deploying ModulON AI within your website, application, or platform, you agree that you will not:
- Modify, obscure, or remove any branding, attribution, security mechanisms, or usage tracking components embedded in the ModulON AI widget or scripts without written authorization.
- Misrepresent the chatbot as a human agent where such representation would be deceptive or unlawful under applicable consumer protection laws.
- Use the Services in connection with illegal, regulated, or high-risk activities without ensuring full compliance with applicable industry laws and regulations (including but not limited to financial, medical, or legal advisory contexts).
- Collect, transmit, or process sensitive personal data through the chatbot unless you have obtained all legally required consents and provided appropriate disclosures to end users.
- Attempt to bypass credit limits, API restrictions, domain restrictions, or authentication controls implemented by ModulON AI.
- Resell, sublicense, or provide unauthorized third parties access to the Services without an active and valid agreement with ModulON AI.
- Deploy the chatbot in a manner that could reasonably harm the reputation, security, or operational stability of ModulON AI.
Clients are solely responsible for:
- Ensuring that appropriate privacy notices and disclosures are presented to end users.
- Obtaining all necessary user consents for data collection and processing.
- Configuring the chatbot responsibly, including moderation settings, human takeover features, and AI behavior controls.
ModulON AI reserves the right to suspend, restrict, or terminate access where a Client’s implementation poses legal, security, or reputational risk to the platform.
Data Usage in AI Context Generation
To deliver accurate, relevant, and context-aware responses, ModulON AI utilizes a Retrieval-Augmented Generation (RAG) architecture. This process retrieves and compiles contextual information — which may include prior conversation history, user-provided content, technical metadata, and organizational information (such as company name, service details, or previously submitted materials) — to construct enriched prompts for AI response generation.
This contextual compilation is performed solely for the purpose of improving response quality and service functionality.
Use of Third-Party AI Providers
In certain circumstances — such as infrastructure load balancing, latency mitigation, redundancy requirements, or system limitations — ModulON AI may route requests to third-party large language model (LLM) providers as fallback processors.
In such cases:
- The enriched contextual data generated by our RAG system may be transmitted to the selected third-party AI provider.
- We limit transmitted data to what is reasonably necessary to generate a coherent and meaningful response.
- Shared data may include business-related information or personal data where required to fulfill the intended service functionality.
Data Handling and External Providers
ModulON AI takes reasonable care in selecting reputable third-party AI providers. However:
- Third-party providers operate under their own terms, privacy policies, and data handling practices.
- ModulON AI does not control and cannot guarantee how such providers process, retain, store, or use data once transmitted.
- Clients are responsible for determining whether the use of external AI processors aligns with their internal compliance frameworks, regulatory obligations, and industry-specific requirements.
Where feasible, we implement technical and organizational safeguards designed to minimize unnecessary exposure of data in AI processing workflows.
Fees, Billing, and Payment
Free Tier
ModulON AI may offer a free tier of the Services subject to usage limitations and feature restrictions.
The free tier:
- Includes ModulON AI branding within the embedded chat widget or interface.
- Limited credits, functionality, or performance capacity.
- May be modified, suspended, or discontinued at our discretion.
We reserve the right to introduce fees for previously free features with reasonable notice.
Paid Services
Certain features of the Services require payment of subscription fees, usage-based charges, credits, or other applicable fees (“Fees”).
By purchasing a paid plan, you agree to:
- Pay all applicable Fees associated with your selected plan.
- Provide accurate and complete billing information.
- Maintain a valid payment method.
All Fees are disclosed prior to purchase and are charged in the currency specified at checkout.
Billing and Automatic Renewal
Unless otherwise stated in a separate written agreement:
- Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the selected plan.
- By purchasing a subscription, you expressly authorize ModulON AI (or its designated third-party payment processor) to charge your selected payment method for recurring Fees at the applicable billing interval.
- Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- You are solely responsible for canceling your subscription before the renewal date if you do not wish to continue. Cancellation will take effect at the end of the then-current billing period.
- Except where required by law, Fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or unused features.
ModulON AI reserves the right to modify billing cycles or subscription structures upon reasonable notice.
Credits and Usage-Based Charges
If your plan includes usage-based credits:
- Credits are deducted based on AI interactions, API calls, or other measurable usage metrics.
- Credit usage is tracked within your account dashboard.
- Once all allocated credits for the billing period are consumed:
- Access to usage-based features may be temporarily restricted until credits are renewed or additional credits are purchased.
- Users may have the option to purchase additional credits at the then-current rate.
- Credits may expire if not used within the applicable period (where specified).
- Unused credits are non-refundable.
- ModulON AI reserves the right to adjust credit calculation methodologies or usage limits with reasonable notice.

Failed or Late Payments
If a payment attempt fails:
- We may retry the charge.
- We may suspend, restrict, or downgrade access to paid features.
- Continued non-payment may result in account suspension or termination.
We are not responsible for service interruptions resulting from failed or declined payments.
Refund Policy
Except where required by applicable law:
- All payments made to ModulonAI for subscriptions, services, or any other fees are non-guaranteed for refund and are subject to the sole discretion of ModulonAI.
- Partial billing periods are not prorated.
- Downgrades or cancellations do not entitle you to refunds for unused time or credits.
Any discretionary refunds, if granted, do not create an obligation for future refunds.
In cases where an account is suspended, terminated, or restricted due to violations of this Terms of Service—including but not limited to abuse, scams, fraudulent activity, or unlawful conduct—ModulonAI may, at its discretion, choose whether or not to provide a refund for any payments made.
By using ModulonAI services, you acknowledge and agree that all payments are made with the understanding that refunds are not automatically provided, and that ModulonAI’s decision regarding refunds is final.
Taxes
Fees do not include applicable taxes, duties, or government charges.
You are responsible for all applicable taxes associated with your use of the Services, except for taxes based on our net income.
Pricing Changes
We reserve the right to modify pricing at any time.
You are responsible for all applicable taxes associated with your use of the Services, except for taxes based on our net income.
- Price changes will not apply retroactively.
- Updated pricing will take effect at the next billing cycle.
- Continued use of the Services after a price change constitutes acceptance of the updated Fees.
Payment Processing
All payments for the Services are processed by independent third-party payment service providers. ModulON AI does not collect, store, or process full payment card or banking details.
By submitting payment information through a third-party processor, you acknowledge and agree that:
- All payment transactions are handled exclusively by the third-party processor.
- ModulON AI only provides the amount, subscription details, and applicable taxes; payment information entry is fully managed by the processor.
- The processing of payment information is governed by the third party’s terms of service and privacy policies.
- ModulON AI is not responsible for payment processing errors, delays, declined transactions, fraud reviews, chargebacks, currency conversion issues, banking restrictions, or account limitations imposed by the Payment Processor.
- Any disputes related to payment authorization, processing, or refunds must be resolved directly with the relevant third-party provider.
You agree that any disputes related to payment authorization, chargebacks, reversals, or transaction failures may be subject to the Payment Processor’s policies and card network rules.
ModulON AI reserves the right to suspend or restrict access to paid Services in the event of chargebacks, payment disputes, suspected fraud, or repeated failed transactions.
Intellectual Property
Ownership of the Services
All software, source code, system architecture, models, algorithms, documentation, branding, trademarks, and platform features made available through ModulON AI (the “Services”) are the exclusive property of ModulON AI or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted in writing, you may not copy, modify, distribute, reverse engineer, decompile, reproduce, republish, or create derivative works from any part of the Services.
Client Intellectual Property
Clients retain full ownership of:
- Their proprietary business information
- Uploaded training data
- Brand assets
- Customer communications
- Documentation and materials integrated into the platform
ModulON AI does not claim ownership over Client-provided content.
Clients grant ModulON AI a limited, non-exclusive, royalty-free license to process, store, and use such content solely for the purpose of providing, maintaining, and improving the Services.
User-Submitted Content
End-users retain ownership of content they submit through the chatbot or related Services. By submitting content, users grant ModulON AI a limited license to process such content strictly for operational and service-delivery purposes.
AI-Generated Output
Unless otherwise specified in a separate agreement, AI-generated responses produced through the Services are provided to the Client or User for their use. ModulON AI does not claim ownership of the output generated in response to Client or User inputs.
However, due to the probabilistic nature of AI systems:
- Outputs may not be unique
- Similar responses may be generated for other users
- Outputs may contain elements derived from generalized model training data
ModulON AI does not guarantee exclusivity of generated content.
Third-Party Intellectual Property and Integrations
Ownership of Third-Party IP
All company names, brands, logos, and trademarks referenced, displayed, or integrated within the Services—including, without limitation, integrations with third-party platforms such as Facebook, WhatsApp, WordPress, Shopify, or similar services—are the property of their respective owners. Such references or integrations are provided solely for identification, informational, or descriptive purposes.
ModulON AI does not claim any rights in third-party intellectual property and makes no representation, warranty, or implication of partnership, endorsement, sponsorship, or collaboration with any third-party company or platform, except where expressly stated in a written agreement.
Disclaimer of Warranties
Third-party integrations are provided “as is.” ModulON AI does not guarantee uninterrupted access, error-free operation, compatibility, or security of any integrated third-party service. ModulON AI makes no warranties regarding the accuracy, reliability, or availability of third-party services or content.
No Liability for Third-Party Changes
Third-party platforms may change, suspend, or discontinue their APIs, services, or features at any time. ModulON AI shall not be liable for any loss, disruption, or reduced functionality resulting from such changes.
ModulON AI is also not responsible for any operational changes, policy updates, or system modifications implemented by third-party providers that may affect the availability or performance of integrated services.
Client and User Responsibility
Clients and users accessing third-party services via ModulON AI are solely responsible for complying with the terms, policies, and requirements of those services. ModulON AI is not responsible for any violations of third-party rules or for any consequences arising from such violations.
Limitation of Liability
To the fullest extent permitted by law, ModulON AI shall not be liable for any damages, losses, or claims arising from or related to:
- The use, performance, or unavailability of any third-party service;
- Errors, interruptions, or failures in third-party platforms;
- Any actions taken by third parties that impact integrated services.
Right to Modify or Remove Integrations
ModulON AI reserves the right to modify, suspend, or discontinue any third-party integration at any time, with or without notice, including to comply with third-party policies, legal requirements, or security considerations.
Data Handling and Privacy
Any data transmitted to third-party services through integrations is subject to the privacy and security policies of the respective third-party service. ModulON AI disclaims any responsibility for how third-party services collect, store, process, or use such data.
Availability, Modifications, and Service Changes
ModulON AI is provided as a cloud‑based service. While we strive to ensure reliable availability and performance, we cannot guarantee that access to the Services will be uninterrupted, continuous, or error‑free.
Service Availability
Access to the Services may be interrupted, delayed, suspended, or restricted due to:
- Scheduled maintenance or system upgrades
- Emergency security updates
- Infrastructure failures
- Third-party service disruptions (including hosting providers, payment processors, or external AI/LLM providers)
- Internet or network outages
- Events beyond our reasonable control (force majeure)
ModulON AI shall not be liable for any loss, damage, or business interruption resulting from such events.
Modifications to the Services
We reserve the right, at our sole discretion, to:
- Modify, enhance, or remove features
- Introduce new functionalities
- Change technical specifications
- Adjust system architecture
- Discontinue portions of the Services
These changes may occur with or without prior notice.
Continued use of the Services after such modifications constitutes acceptance of the updated functionality.
Beta and Experimental Features
From time to time, we may release beta, preview, or experimental features. Such features:
- May be unstable
- May contain errors
- May change or be discontinued at any time
- Are provided “as is” without additional warranties
Use of beta features is at your own risk.
No Service Level Guarantee (Unless Separately Agreed)
Unless explicitly stated in a separate written Service Level Agreement (SLA), ModulON AI does not guarantee uptime percentages, response times, or system availability metrics.
Client Responsibility
Clients are responsible for:
- Maintaining independent backups of critical data where necessary
- Evaluating whether the Services meet their operational requirements
- Implementing contingency plans for potential service disruptions
Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, ModulON AI disclaims all warranties, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness
- Uninterrupted or error-free operation
AI-Generated Content Disclaimer
ModulON AI utilizes automated systems, including machine learning models and large language models (LLMs), to generate responses.
You acknowledge and agree that:
- AI-generated responses may be inaccurate, incomplete, misleading, or outdated.
- Outputs may contain errors or unintended content.
- Responses are generated probabilistically and do not constitute verified facts.
- The AI may produce similar outputs for different users.
ModulON AI does not guarantee the correctness, reliability, or suitability of any AI-generated content.
No Professional Advice
AI-generated responses do not constitute:
- Legal advice
- Medical advice
- Financial advice
- Accounting advice
- Regulatory compliance guidance
- Or any other form of professional advisory service
You are solely responsible for independently verifying any information before relying on it for business, legal, financial, medical, or operational decisions.
User Responsibility
Use of the Services is at your own risk. You assume full responsibility for:
- Reviewing and validating AI-generated outputs
- Determining the appropriateness of responses for your specific use case
- Ensuring compliance with applicable laws and regulations
ModulON AI shall not be responsible for decisions made based on AI-generated responses.
Limitation of Liability
To the fullest extent permitted by applicable law:
ModulON AI, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
- Loss of profits
- Loss of revenue
- Loss of data
- Business interruption
- Loss of goodwill
- Regulatory penalties
- Compliance failures
- Reputational harm
- Use or inability to use the Services
- AI-generated responses or outputs
- Reliance on automated content
- Data routing to third-party AI providers
- Security incidents beyond our reasonable control
- Service downtime or infrastructure failure
arising out of or related to:
Aggregate Liability Cap
In no event shall ModulON AI’s total aggregate liability for all claims arising out of or relating to the Services exceed:
- The total amount paid by the Client to ModulON AI in the one (1) month preceding the claim; or
- If no fees were paid, liability is limited to USD $12 whichever is lower.
This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
No Liability for Third-Party Providers
ModulON AI shall not be liable for acts, omissions, failures, or data handling practices of third-party service providers, including hosting providers, infrastructure vendors, analytics services, payment processors, or external AI/LLM providers.
Indemnification
You agree to defend, indemnify, and hold harmless ModulON AI and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Content you submit, upload, or transmit
- Your integration or deployment of the chatbot on your website or platform
- Your failure to obtain proper user consent or legal authorization
- Claims brought by your end-users, customers, or third parties
If you are a Client embedding ModulON AI, you are solely responsible for ensuring lawful deployment, notice, and consent within your organization and user base.
ModulON AI reserves the right to assume exclusive defense and control of any matter subject to indemnification at your expense.
Force Majeure
ModulON AI shall not be liable for any delay, failure, or interruption in performance resulting from causes beyond our reasonable control, including but not limited to:
- Natural disasters
- Power outages
- Internet or telecommunications failures
- Cyberattacks or distributed denial-of-service (DDoS) attacks
- Government actions or regulatory changes
- Labor disputes
- Pandemic or public health emergencies
- Third-party infrastructure failures
- Cloud provider outages
- AI provider unavailability
During such events, obligations shall be suspended for the duration of the force majeure condition.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the proper courts located in Cebu City, Cebu, Philippines.
You expressly consent to the personal jurisdiction of such courts.
Changes to These Terms
We may modify or update these Terms at any time at our sole discretion.
When changes are made:
- The “Last Updated” date will be revised.
- Material changes may be communicated through website notices, dashboard notifications, or other reasonable means where appropriate.
Unless otherwise stated, updated Terms take effect upon posting.
Continued access to or use of the Services after the effective date constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must discontinue use of the Services.
